1. Operator and scope

These terms apply to the MindStruo desktop software, license account, document generation, and related support features provided by HUMAN & COMMUNICATIONS CO., LTD. (주식회사 휴앤컴스).

The company makes these terms, the Privacy Policy, EULA, and Subscription, Cancellation and Refund Policy available before sign-up, installation, or purchase. Material changes are announced in advance, and separate consent is requested when required by law.

2. Accounts and eligibility

• Account features use Google basic identity and do not request Gmail or Drive access.
• Initial account creation is available to people aged 18 and over. Buyers of paid access must have reached the legal age of majority where they live (19 in the Republic of Korea) and confirm this before purchase. Before opening sales to minors, we will establish the applicable local policies and parental consent process.
• Accounts and entitlements may not be transferred, resold, shared without authorization, or used to bypass billing or security controls.
• Users are responsible for protecting account and device access and should report suspected unauthorized use.

3. User material and AI features

Users retain their rights in local files and content they lawfully control. Users are responsible for having the right to process submitted material.

Starting an AI feature or using the separately configured Codex connection may send selected sources, the request, bounded project context, and selected writing instructions (including a categorical style fingerprint) to OpenAI Codex. AI output may be inaccurate or incomplete and must be reviewed for facts, figures, citations, rights, and final form.

Document generation requires a current one-time preflight receipt for the reviewed generation settings. If the receipt expires or the settings change, the transmission scope must be reviewed again.

Before an AI feature starts, the app discloses that generative AI is used. The result screen and supported exported-file properties or bundle metadata identify the output as AI-assisted. This label does not certify factual or legal correctness.

The optional external Studio MCP connection is bound to the current vault, exact active Studio, and active project window. Linked-project or whole-vault retrieval requires a separate five-minute approval. The restricted connection may queue proposals for review but cannot apply, save, delete, or export them. The default configuration copied by MindStruo requests approval for each enabled tool call; changes made by the user to Codex configuration control subsequent approval behavior.

Codex access and charges are not included unless a purchase screen expressly says otherwise.

4. File-processing limits

MindStruo extracts text and some structure from supported formats. It does not guarantee complete OCR for scanned PDFs, preservation of every image, chart, animation, macro, formula result, original layout, or lossless compatibility with every Office, Obsidian, or Hancom feature.

Beta or experimental formats such as HWPX must be opened and checked in the intended application. Keep backups and compare important outputs with their sources.

5. Paid plans and billing

• The price, currency, taxes, billing period, and renewal date shown in Paddle Checkout before purchase control.
• Every Early Access subscription has the same included features, at US$14.99 per month for the USD offer or KRW 19,900 for the Korean offer; only subscriptions with Founding 100 membership retain their original monthly price and currency until the MindStruo service records terminal cancellation. Other Early Access subscriptions do not include price retention.
• A successful first payment creates only provisional eligibility in verified first-payment order; it does not immediately reserve or assign Founding #001–#100. After one calendar month has elapsed, the service verifies the first monthly renewal transaction is completed in Paddle and has a billing period, then confirms up to 100 accounts with verified active subscriptions and refund, cancellation and dispute status. A pending candidate has no numbered rank, guaranteed place, or guaranteed number. Cancellation or refund before confirmation removes the candidate without consuming a number, so the next eligible account is reviewed. Pending refunds or disputes and a renewal whose completed transaction and billing period have not been verified hold confirmation. Only confirmed members receive numbered ranks, and confirmed numbers are never reassigned. Included features match other Early Access subscriptions; original-price retention is exclusive to confirmed Founding 100 members.
• A recurring subscription renews each billing period until canceled.
• A scheduled cancellation or refund request while confirmation is pending holds the award. For an already confirmed Founding member, a scheduled cancellation, pause, payment retry or permitted grace period alone does not end the number or price continuity before final cancellation. Withdrawing a scheduled cancellation before that terminal record preserves continuity. Once terminal cancellation is recorded, the number and price-continuity eligibility end permanently; a later purchase uses the price shown then.
• The app separates billing history and payment-method management from cancellation. When you choose Cancel subscription, a confirmation explains the general effect of cancellation before opening Paddle. It separately asks you to acknowledge permanent loss of an active Founding number, or possible Founding confirmation after a successful first monthly renewal while places remain. It does not cancel the subscription or end Founding status; the change is made in Paddle and the service-verified state controls.
• Paid access activates only after a verified Paddle transaction and subscription state are received.
• Ending a subscription does not automatically delete local Markdown or supported free local features.
• Any price change for subscriptions outside the Founding 100 price-retention benefit follows applicable notice and consent requirements.

6. Changes and responsibility

The company may change the service for security, law, provider changes, maintenance, or product improvement. Material reductions to paid features follow applicable notice requirements.

Availability and quality may be affected by networks, operating systems, Google, Paddle, Cloudflare, OpenAI, or Codex. Except for wilful misconduct, gross negligence, or rights that cannot be excluded by law, the company is not responsible for unforeseeable indirect loss.

7. Intellectual property and law

MindStruo software, branding, documentation, and components belong to the company or their lawful owners. Open-source components remain subject to their own licenses. These terms do not transfer the user's rights in user content or lawfully used output to the company.

1. 운영자와 약관 적용

이 약관은 HUMAN & COMMUNICATIONS CO., LTD. (주식회사 휴앤컴스)가 제공하는 MindStruo 데스크톱 소프트웨어, 라이선스 계정, 문서 생성 및 관련 지원 기능에 적용됩니다.

회사는 가입, 설치 또는 결제 전에 이 약관과 개인정보처리방침, 최종사용자 사용권 계약, 구독·취소·환불 정책을 확인할 수 있게 합니다. 중요한 변경은 시행일과 사유를 미리 알리고, 법령상 별도 동의가 필요하면 그 절차를 따릅니다.

2. 계정과 이용 자격

• 계정 기능은 Google의 기본 신원 확인을 사용하며 Gmail·Drive 접근 권한을 요청하지 않습니다.
• 초기 계정 생성은 만 18세 이상부터 가능합니다. 유료 이용권 구매자는 거주지의 법정 성년 연령에 도달해야 합니다(대한민국은 만 19세). 구매 전 성년 여부를 직접 확인해야 합니다. 미성년자 대상 판매를 열기 전에는 필요한 국가별 정책과 법정대리인 동의 절차를 마련합니다.
• 계정과 이용권을 무단으로 양도·판매·공유하거나 결제·보안 통제를 우회해서는 안 됩니다.
• 사용자는 계정과 기기의 접근 수단을 안전하게 관리하고 무단 사용을 알게 되면 고객지원에 알려야 합니다.

3. 사용자 자료와 AI 기능

로컬 파일과 사용자가 적법하게 보유한 콘텐츠의 권리는 사용자에게 남습니다. 사용자는 처리할 자료를 사용할 권한이 있는지 확인해야 합니다.

AI 기능을 실행하거나 별도 Codex 연결을 사용하면 사용자가 선택한 자료, 요청문, 필요한 프로젝트 맥락과 선택한 작성 지시(범주형 문체 지문 포함)가 OpenAI Codex로 전송될 수 있습니다. 생성 결과는 사실성·완전성·권리 침해 여부를 사용자가 검토한 뒤 사용해야 합니다.

문서 생성에는 확인한 생성 설정과 일치하는 최대 5분 유효 단일사용 사전확인 영수증이 필요합니다. 영수증이 만료되거나 설정이 바뀌면 전송 범위를 다시 확인해야 합니다.

AI 기능을 시작하기 전 생성형 AI 사용 사실을 알리고, 결과 화면과 내보낸 파일의 지원되는 속성·묶음 메타데이터에 AI 보조 작성임을 표시합니다. 이 표시는 생성 결과의 사실성이나 적법성을 보증하지 않습니다.

선택 기능인 외부 Studio MCP 연결은 현재 자료함, 정확히 활성화된 Studio와 활성 프로젝트 창에 묶입니다. 연결 프로젝트·전체 자료함 검색에는 별도의 5분 승인이 필요하며, 제한된 연결은 수정안을 검토 대기열에 기록할 수 있지만 적용·저장·삭제·내보내기는 할 수 없습니다. MindStruo가 복사하는 기본 설정은 허용된 각 도구 호출 전에 승인을 요청하며, 사용자가 Codex 설정을 바꾸면 이후 승인 동작도 달라집니다.

Codex 이용 조건과 비용은 구매 화면에 명시하지 않는 한 MindStruo 이용료에 포함되지 않습니다.

4. 파일 처리의 한계

MindStruo는 지원 형식의 텍스트와 일부 구조를 추출하지만 스캔 PDF의 모든 OCR, 이미지·차트·애니메이션·매크로, 모든 수식 결과, 정확한 원본 레이아웃과 모든 Office·Obsidian·Hancom 기능의 무손실 호환을 보장하지 않습니다.

HWPX 등 베타 또는 실험적 형식은 사용자가 실제 대상 프로그램에서 결과를 열어 확인해야 합니다. 중요한 결과물은 원본과 대조하고 백업을 유지해야 합니다.

5. 유료 플랜과 결제

• 실제 가격, 통화, 세금, 결제 주기와 갱신일은 구매 직전 Paddle 결제창의 표시가 우선합니다.
• 모든 얼리 액세스 구독의 포함 기능은 같으며, 한국 상품은 월 19,900원, 해외 USD 상품은 월 US$14.99로 시작할 예정입니다. Founding 100 자격을 받은 구독에만, 서비스가 최종 해지로 기록하기 전까지 가입 당시의 월 가격과 통화가 유지됩니다. 일반 얼리 액세스 구독에는 가격 유지 혜택이 적용되지 않습니다.
• 첫 결제 성공은 확인된 결제 순서에 따른 임시 후보 자격만 만들며 Founding #001–#100을 즉시 예약·배정하지 않습니다. 첫 결제 후 한 달이 지나고, 서비스가 Paddle에서 첫 월 갱신 거래 완료와 해당 결제 기간을 확인한 뒤 활성 구독과 환불·취소·분쟁 상태가 확인된 계정 중 최대 100명에게 번호를 확정합니다. 대기 후보에게는 숫자 순번이 없고 자리나 특정 번호도 보장되지 않습니다. 확정 전 해지·환불한 계정은 후보에서 제외되어 다음 자격 계정이 검토 대상이 되며 번호를 소비하지 않습니다. 미결 환불·분쟁이나 완료된 갱신 거래와 결제 기간이 확인되지 않은 상태에서는 확정을 보류합니다. 숫자 번호는 확정된 자격에만 부여하고 확정된 번호는 재배정하지 않습니다. 포함 기능은 일반 얼리 액세스 구독과 같고, 가입 당시 가격 유지 혜택은 확정된 Founding 100에만 적용됩니다.
• 정기구독은 사용자가 취소할 때까지 각 결제 주기마다 자동 갱신됩니다.
• 확정 대기 중 해지 예약 또는 환불 신청은 번호 확정을 보류합니다. 이미 확정된 Founding 자격에서는 예약 해지, 일시 정지, 결제 재시도 또는 허용된 유예기간만으로 번호와 가격 연속성이 종료되지 않고 최종 해지 시 종료됩니다. 최종 해지 기록 전에 예약 해지를 철회하면 연속성이 유지됩니다. 최종 해지로 기록되면 해당 번호와 가격 유지 자격은 영구히 끝나며, 이후 구매에는 당시 표시 가격이 적용됩니다.
• 앱은 결제 내역·결제 수단 관리와 구독 취소를 구분합니다. 구독 취소를 선택하면 Paddle 포털을 열기 전 일반 해지 효과를 안내합니다. 활성 Founding 번호가 있으면 영구 상실을, 아직 번호가 없지만 남은 자리가 있으면 첫 월 갱신 결제 후 자격 확인에 따라 배정될 가능성까지 별도로 확인합니다. 이 확인만으로 해지를 실행하거나 Founding 자격을 끝내지는 않으며, 실제 구독 변경은 Paddle에서 진행되고 서비스가 확인한 상태가 기준입니다.
• 유료 권한은 Paddle에서 확인된 거래·구독 상태가 반영된 뒤 활성화됩니다.
• 구독이 끝나도 로컬 Markdown과 지원되는 무료 로컬 기능은 자동 삭제되지 않습니다.
• Founding 100 전용 가격 유지 혜택이 적용되지 않는 구독의 가격 변경에는 적용 법령에 따른 사전 고지와 필요한 동의 절차를 따릅니다.

6. 서비스 변경과 책임

회사는 보안, 법령, 외부 공급자 변경, 유지보수 또는 제품 개선을 위해 서비스를 변경할 수 있습니다. 중요한 유료 기능 축소에는 적용 법령과 고지 절차를 따릅니다.

네트워크, 운영체제, Google, Paddle, Cloudflare, OpenAI 또는 Codex의 장애와 변경으로 속도·품질·가용성이 달라질 수 있습니다. 회사는 고의 또는 중대한 과실이 있거나 관계 법령이 달리 정한 경우를 제외하고 예측하기 어려운 간접 손해를 책임지지 않습니다.

7. 지식재산권과 준거법

MindStruo 프로그램, 브랜드, 문서와 구성요소의 권리는 회사 또는 정당한 권리자에게 있습니다. 오픈소스 구성요소에는 해당 라이선스가 별도로 적용됩니다. 사용자 콘텐츠와 적법하게 이용한 생성 결과의 권리가 이 약관으로 회사에 이전되지는 않습니다.

대한민국 법률을 준거법으로 하며, 소비자에게 적용되는 강행규정과 법정 관할을 배제하지 않습니다. 문의: support@mindstruo.com
